1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by hyphentfde B.V. ("Company," "we," "our," or "us"), a Dutch limited liability company registered in the Netherlands. By engaging our property management services or using our website, you agree to be bound by these Terms.

3. Acceptance of Terms

By accessing our website, requesting our services, or entering into a service agreement with hyphentfde B.V., you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use our services.

4. Services Provided

4.1 Property Management Services

hyphentfde B.V. provides comprehensive property management services including but not limited to:

  • Tenant screening, placement, and management
  • Rent collection and financial management
  • Property maintenance coordination
  • Property inspections and reporting
  • Legal compliance and documentation
  • Emergency response coordination
  • Financial reporting and tax documentation

4.2 Service Scope

The specific services provided will be detailed in individual service agreements. We reserve the right to modify our service offerings and may discontinue certain services with appropriate notice to clients.

5. Client Obligations

5.1 Property Owner Responsibilities

  • Provide accurate and complete information about your property
  • Ensure the property meets all legal safety and habitability standards
  • Maintain appropriate insurance coverage for your property
  • Pay management fees and approved expenses in a timely manner
  • Comply with all applicable Dutch and EU laws and regulations
  • Provide necessary documentation and authorisation for service delivery

5.2 Accurate Information

You must provide accurate, current, and complete information when using our services. You are responsible for maintaining and updating this information as needed.

6. Fees and Payment

6.1 Management Fees

Management fees are calculated as a percentage of monthly rental income and will be specified in your service agreement. Current fee structures include:

  • Basic Management: 8% of monthly rent
  • Full Service: 12% of monthly rent
  • Premium Plus: 15% of monthly rent

6.2 Additional Costs

Additional costs may include:

  • Property maintenance and repairs (pre-approved by property owner)
  • Tenant placement fees for new tenancies
  • Legal and professional services
  • Emergency response services outside business hours

6.3 Payment Terms

Management fees are deducted from rental income before disbursement to property owners. Additional approved expenses will be deducted from rental income or invoiced separately. All fees are subject to Dutch VAT where applicable.

7. Term and Termination

7.1 Service Agreement Term

Service agreements typically have a minimum term of 12 months, renewable automatically unless terminated by either party with appropriate notice as specified in the individual service agreement.

7.2 Termination Rights

Either party may terminate the service agreement:

  • With 90 days' written notice for convenience
  • Immediately for material breach of contract
  • Immediately if the other party becomes insolvent or bankrupt

7.3 Post-Termination Obligations

Upon termination, we will transfer all relevant property documentation, tenant information, and remaining funds (less any outstanding fees) within 30 days.

8. Liability and Disclaimers

8.1 Standard of Care

We will perform our services with reasonable care and skill in accordance with industry standards. However, we cannot guarantee specific outcomes such as rental rates, tenant behaviour, or property appreciation.

8.2 Limitation of Liability

Our liability for any claim arising from our services is limited to the management fees paid in the 12 months preceding the claim. We are not liable for consequential, indirect, or punitive damages.

8.3 Third-Party Actions

We are not responsible for the actions or omissions of tenants, contractors, or other third parties, though we will use reasonable efforts to coordinate and oversee their activities.

9. Intellectual Property

9.1 Company IP

All intellectual property rights in our website, software, documentation, and proprietary processes remain the exclusive property of hyphentfde B.V. You may not copy, reproduce, or distribute our intellectual property without written permission.

9.2 Client Data

You retain ownership of your property information and personal data. By using our services, you grant us a license to use this information for the purpose of providing property management services.

10. Privacy and Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy, which complies with the General Data Protection Regulation (GDPR) and Dutch data protection laws. Please review our Privacy Policy for detailed information.

11. Compliance with Laws

11.1 Regulatory Compliance

We operate in compliance with Dutch property management regulations, rental laws, and EU directives. Clients are responsible for ensuring their properties meet all applicable legal requirements.

11.2 Anti-Money Laundering

We comply with Dutch anti-money laundering (AML) and know-your-customer (KYC) requirements. We may request documentation to verify client identity and source of funds.

12. Force Majeure

Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

13. Dispute Resolution

13.1 Negotiation

In the event of a dispute, the parties will first attempt to resolve the matter through good faith negotiation.

13.2 Mediation and Arbitration

If negotiation fails, disputes may be resolved through mediation or arbitration in accordance with Dutch arbitration rules, conducted in The Hague, Netherlands.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any legal proceedings will be subject to the exclusive jurisdiction of the Dutch courts, with venue in The Hague, Netherlands.

15. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated to clients with at least 30 days' notice. Continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

17. Entire Agreement

These Terms, together with individual service agreements and our Privacy Policy, constitute the entire agreement between you and hyphentfde B.V. regarding our services, superseding all prior or contemporaneous communications and proposals.
